1. Definitions
“Website” refers to the Omnipraxis Collective website and all its subpages, subdomains, and associated digital properties.
“Omnipraxis,” “we,” “our,” or “us” refers to Omnipraxis Collective, operating as Omnipraxis Collective, and any associated business entities.
“You,” “your,” “user,” or “Participant” refers to any individual who accesses, browses, or uses this Website or its associated content, products, programmes, or services.
“Content” refers to all text, images, videos, audio, graphics, downloadable materials, curricula, frameworks, templates, newsletters, social media posts, and any other materials published on or distributed through this Website.
“Courses” or “Digital Products” refers to all downloadable guides, toolkits, templates, assessments, digital courses, memberships, and other digital goods offered for free or for purchase through this Website.
“Mentorship” refers to one-to-one or group mentorship, coaching, and advisory sessions offered through this Website.
“Induction Placement” refers to the Clinical Practice Induction programme, under which a Participant is given shared, cost-shared access to a working clinic environment together with mentorship from the Lead Clinician on site.
“Host Clinic” refers to the clinical premises at which an Induction Placement is offered. “Lead Clinician” refers to the licensed practitioner responsible for the Host Clinic who provides on-site mentorship during an Induction Placement.
“Services” refers collectively to Courses, Mentorship, Induction Placements, and any other services offered through this Website.
“Programme Agreement” refers to any separate written agreement executed between you and us governing a specific Mentorship engagement or Induction Placement.
“Affiliated Platforms” refers to third-party platforms through which our Content or Services are distributed, including but not limited to YouTube, Instagram, LinkedIn, Substack, learning management platforms, and any future platforms.
2. Professional Scope and Disclaimers
This is the most important section of this document. Please read it carefully.
2.1 Who We Serve, and What We Are Not
Omnipraxis provides education, mentorship, and business support to licensed naturopathic doctors, medical doctors, and other qualified healthcare practitioners. We do not provide clinical care to patients, and this Website is not intended for use by patients seeking care. Nothing on this Website is directed to members of the public as medical advice.
Our Services are educational, developmental, and operational in nature. They do not constitute the practice of medicine, naturopathic medicine, or any other regulated health profession, and no doctor-patient or practitioner-patient relationship is created between Omnipraxis and any Participant or any Participant's patients.
2.2 No Clinical, Legal, Financial, Tax, or Regulatory Advice
All Content, Courses, Mentorship, and other Services are provided strictly for educational and informational purposes. Nothing we provide constitutes:
• Clinical advice — we do not direct, approve, or take responsibility for how you assess, diagnose, or treat any patient. All clinical decisions remain yours alone
• Legal advice — we are not a law firm. Guidance on business structure, contracts, employment, or regulatory matters is general and must be confirmed with a qualified lawyer in your jurisdiction
• Accounting or tax advice — we are not accountants. Guidance on pricing, revenue, bookkeeping, or business finances is general and must be confirmed with a qualified accountant
• Financial or investment advice — nothing we provide is a recommendation to make any particular financial commitment
• Regulatory or licensing advice — you are responsible for confirming your own obligations with your regulatory college or licensing body
2.3 You Remain Solely Responsible for Your Practice
You acknowledge and agree that at all times:
• You are solely responsible for your own clinical judgment, patient care, and patient outcomes
• You are solely responsible for maintaining your licence, registration, good standing, and continuing education requirements
• You are solely responsible for complying with your regulatory college's standards of practice, scope-ofpractice rules, advertising standards, and record-keeping requirements
• You are solely responsible for complying with applicable health privacy legislation in respect of your own patients
• You are solely responsible for maintaining professional liability insurance appropriate to your practice
• Where our guidance conflicts with your regulatory obligations, your regulatory obligations take precedence, without exception
2.4 No Employment, Partnership, or Supervisory Relationship
Nothing in these Terms creates an employment relationship, partnership, joint venture, agency, or franchise between you and Omnipraxis. Unless expressly agreed in a signed Programme Agreement, no mentor, instructor, or Lead Clinician acts as your clinical supervisor, delegating practitioner, or responsible physician for the purposes of any regulatory framework. Mentorship is guidance offered between professionals; it is not supervision, delegation, or oversight in any regulated sense.
2.5 No Guarantee of Results, Income, or Business Outcomes
Any outcomes, results, revenue figures, patient volumes, or business milestones described or implied in our Content, Courses, Mentorship, or marketing materials are illustrative only. They are not guarantees, projections, or promises of what you will achieve.
Building a clinical practice involves substantial risk, including financial risk. Your results will depend on numerous factors outside our control, including your credentials, experience, effort, market conditions, location, capital, regulatory environment, and business decisions. Many practitioners who receive education and mentorship do not achieve the results they hope for. You accept full responsibility for the commercial risk of any decision you make, including any decision to lease premises, hire staff, or invest capital.
Where we publish testimonials or case studies, these reflect the experience of specific individuals and are not typical or expected results.
2.6 Credentials
Details of the credentials held by Omnipraxis principals, instructors, and Lead Clinicians are set out on the Website. Individual instructors and mentors are responsible for the accuracy of the credentials they represent, and for practising only within the scope permitted by their own licences and registrations.
3. Eligibility and Professional Verification
3.1 Eligibility
You must be at least 18 years of age to use this Website, purchase Courses, or engage Services. Certain programmes are restricted to practitioners who hold a current licence or registration with a recognized regulatory body, or who are enrolled in an accredited professional programme. By enrolling in a restricted programme, you represent and warrant that you meet its stated eligibility requirements.
3.2 Verification and Accuracy
We may require you to provide evidence of your designation, licence or registration number, regulatory college, and standing before granting access to restricted programmes. You agree that all information you provide is accurate, current, and complete, and that you will notify us promptly if your licence or registration is suspended, restricted, conditioned, or revoked. Providing false or misleading credential information is a material breach of these Terms and may result in immediate termination without refund.
3.3 Insurance
Participants in Mentorship programmes involving clinical discussion, and all Participants in Induction Placements, must hold and maintain professional liability insurance appropriate to their scope of practice, at coverage limits no less than those required by their regulatory college. We may require evidence of coverage as a condition of participation.
3.4 Suspension and Termination
We reserve the right to suspend or terminate your access to any programme, without refund, where you cease to meet eligibility requirements, where your licence or registration lapses or is restricted, where you breach these Terms or a Programme Agreement, or where we reasonably believe your continued participation presents a risk to patients, other Participants, or the Host Clinic.
4. Use of Website
4.1 Acceptance of Terms
By accessing or using this Website, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you are accessing this Website on behalf of a clinic, business, or organization, you represent that you have the authority to bind that entity to these Terms.
4.2 Permitted Use
You may access and use this Website for lawful purposes, subject to these Terms. You agree not to:
• Copy, reproduce, distribute, republish, download, display, post, or transmit any Content in any form or by any means without prior written consent
• Use any Content to teach, train, or deliver your own courses, workshops, or programmes without explicit written authorization
• Modify, alter, or create derivative works from any Content
• Use automated systems, bots, or scraping tools to access or collect Content
• Extract or compile Content for use in databases or artificial intelligence training datasets
• Attempt to interfere with, compromise, or disrupt the Website's systems or security
• Use the Website to transmit harmful, offensive, or unlawful material • Impersonate Omnipraxis or misrepresent your affiliation with Omnipraxis, its instructors, or any Host Clinic
4.3 Accounts and Access Credentials
Certain features of this Website require you to create an account or provide personal information. You agree to provide accurate, current, and complete information, and to maintain the confidentiality of your account credentials. Access credentials are personal to you and must not be shared, sold, or transferred. Sharing course access with another individual is a material breach of these Terms and may result in immediate termination without refund. You are responsible for all activity occurring under your account.
5. Intellectual Property
5.1 Ownership
All Content on this Website, including but not limited to text, graphics, logos, images, videos, audio recordings, course materials, curricula, frameworks, clinical operations templates, business templates, downloadable documents, and software, is the exclusive property of Omnipraxis or its licensors and is protected by Canadian and international copyright, trademark, and other intellectual property laws.
5.2 Limited Licence
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Content for your own professional development and for use within your own practice. This licence does not include the right to:
• Reproduce, distribute, or publicly display any Content beyond your own use
• Use any Content to create, deliver, or market a competing course, mentorship programme, or training offering
• Provide Content to colleagues, employees, students, or third parties without a separate licence from us
• Extract, scrape, or systematically download Content for use in databases, artificial intelligence training datasets, or other compilations
• Remove or alter any copyright, trademark, or proprietary notices from Content
5.3 Trademarks
Omnipraxis,” “Clinical Practice Induction,” and associated logos, taglines, programme names, and visual identities are trademarks or unregistered marks of Omnipraxis. You may not use these marks, or represent yourself as endorsed, certified, or accredited by Omnipraxis, without prior written consent. Completion of a Course or programme does not confer any certification, accreditation, or right to use our marks in your own marketing unless we expressly grant it in writing.
5.4 User-Submitted Content
If you submit any content to us, including comments, testimonials, questions, assignments, feedback, or communications through forms, email, community channels, or social media, you grant us a non-exclusive, royalty-free, perpetual, irrevocable, worldwide licence to use, reproduce, modify, display, and distribute that content in connection with our Website, Content, and marketing. You represent that you own or have the necessary rights to any content you submit, and that it contains no patient-identifying information.
6. Courses and Digital Products
6.1 Nature of Courses
Courses and Digital Products are educational materials for qualified practitioners. They are not clinical protocols, treatment guidelines, standards of care, or legal or accounting advice. See Section 2 for full details.
6.2 Purchase and Delivery
Courses and Digital Products are delivered electronically. Upon completing your purchase through our designated payment processor, you will receive access via email or through a designated platform. Delivery is typically immediate but may take up to 24 hours. You are responsible for providing a valid email address and ensuring your systems can receive and access the delivered materials.
6.3 Pricing, Currency, and Taxes
All prices are listed in the currency indicated at the point of sale. Prices are subject to change at any time without notice, except that price changes will not affect orders already completed. Applicable taxes will be added at checkout where required by law. Where you purchase from outside Canada, you are responsible for any additional local taxes, duties, currency conversion costs, or bank charges.
6.4 Refund Policy
All sales of Courses and Digital Products are final and non-refundable once access has been granted or the product has been downloaded. This reflects the digital nature of the materials and the fact that access cannot be returned.
If you experience a technical issue that prevents you from accessing a purchased product, contact us within 7 days of purchase and we will work to resolve the issue or, at our sole discretion, provide a refund.
For subscription-based products and memberships, you may cancel future billing at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused portions of a billing cycle.
Refund and cancellation terms for Mentorship engagements and Induction Placements are set out in Sections 7 and 8 and in the applicable Programme Agreement.
6.5 Licence to Use
Upon purchase, you are granted a limited, non-exclusive, non-transferable, personal licence to access and use the Course for your own professional development and practice. You may not share, resell, distribute, copy, reproduce, or make available any purchased Course to any third party, whether for free or for compensation, and you may not use its materials to deliver training to others. Violation may result in termination of access without refund, and legal action.
6.6 Course Access and Availability
Access to Courses may be provided through third-party platforms. We make reasonable efforts to ensure continuous availability but do not guarantee uninterrupted access. Course content may be updated, modified, or retired at our discretion. Where a Course is retired, existing purchasers will receive reasonable advance notice and a reasonable window in which to download any materials made available for download.
7. Mentorship Programmes
7.1 Nature of Mentorship
Mentorship offered through this Website is professional, educational, and business-focused. It is peer guidance between practitioners. It is not clinical supervision, delegation, medical direction, therapy, or any regulated health service, and it does not create a supervisory or employment relationship. See Sections 2.3 and 2.4.
7.2 Programme Agreement
Before any paid Mentorship engagement begins, you will be required to review and sign a separate Programme Agreement setting out scope, duration, fees, payment schedule, cancellation terms, and mutual obligations. The Programme Agreement supplements these Terms. Where there is a conflict, the Programme Agreement governs for that engagement.
7.3 Your Responsibilities
You acknowledge and agree that:
• You are fully responsible for your own clinical decisions, business decisions, and their outcomes
• You will not rely on mentorship as a substitute for legal, accounting, tax, or regulatory advice from a qualified professional
• You will not share patient-identifying information during any session or in any community channel, and will fully de-identify any clinical scenario before discussing it
• You will disclose any restriction, condition, or investigation affecting your licence or registration that is relevant to the engagement
• You will notify us promptly if any matter discussed in mentorship becomes the subject of a regulatory complaint or legal proceeding
7.4 Cancellation and Rescheduling
Discovery calls are free and may be cancelled or rescheduled at any time. For paid sessions, cancellation or rescheduling requests must be made at least 24 hours in advance. Sessions cancelled with less than 24 hours notice, or missed without notice, will be considered used and will not be rescheduled or refunded.
7.5 Confidentiality
We will treat information about your practice, finances, and professional circumstances shared during mentorship as confidential, except where disclosure is required by law, where there is a risk of serious harm, where disclosure to a regulatory body is required, or where you provide written consent. You agree to the same obligation in respect of information about other Participants, the Host Clinic, and our proprietary materials.
8. Clinical Practice Induction Placements
This section applies in addition to all other provisions of these Terms. Induction Placements involve access to a working clinic and contact with patients, and carry obligations that do not apply to our digital programmes.
8.1 Nature of the Placement
A Clinical Practice Induction is a cost-shared placement in a working clinic, offered so that a Participant can experience the operational reality of clinic ownership before committing to premises of their own. It provides shared access to the Host Clinic environment, exposure to front-of-house, billing, records, and clinical operations, mentorship from the Lead Clinician on site, and the opportunity to build the Participant's own patient list within an established environment.
An Induction Placement is not employment, a partnership, a locum arrangement, a residency, an internship, or an accredited training post. It does not confer any certification, and it does not create any ownership interest in the Host Clinic.
8.2 Mandatory Requirements
Participation is conditional on the Participant holding and maintaining, throughout the placement:
• A current, unrestricted licence or registration to practise in the jurisdiction where the Host Clinic is located, in good standing with the applicable regulatory college
• Professional liability insurance appropriate to the Participant's scope of practice, at limits no less than those required by the applicable regulatory college, with evidence of coverage provided to us before the placement begins
• Any approval, notification, or registration required by the Participant's regulatory college in connection with practising at the Host Clinic
• Any criminal record check, immunization record, or occupational health clearance required by the Host Clinic or by law It is the Participant's responsibility, not ours, to confirm that participation is permitted under their college's rules. Failure to maintain any of the above permits immediate suspension or termination of the placement without refund.
8.3 Clinical Responsibility
The Participant provides patient care in their own name, under their own licence, exercising their own independent professional judgment. The Participant is solely responsible for all clinical decisions, assessments, treatments, referrals, documentation, and patient outcomes arising from their care.
Unless expressly agreed otherwise in a signed Programme Agreement, the Lead Clinician provides operational and professional mentorship only. The Lead Clinician is not the Participant's clinical supervisor, delegating practitioner, or most responsible practitioner, and does not review, approve, or assume responsibility for the Participant's clinical work.
Omnipraxis and the Host Clinic accept no liability for the Participant's clinical acts or omissions. The Participant's indemnity under Section 16 extends expressly to any claim arising from their care of patients during a placement.
8.4 Patient Records and Health Information
Unless expressly agreed otherwise in writing before the placement begins, the Participant is the health information custodian in respect of their own patients and is responsible for creating, securing, retaining, and transferring those records in accordance with applicable health privacy legislation and their college's recordkeeping standards.
The Participant must comply with all Host Clinic policies governing record storage, access, and security, and must not access, copy, or remove records relating to patients of the Lead Clinician or any other practitioner. Arrangements for the retention, transfer, or copying of records at the end of a placement must be agreed in writing before the placement begins, and must in all cases satisfy the Participant's continuity-of-care and retention obligations.
8.5 Fees, Cost-Sharing, and Billing
The placement fee is payable monthly in advance at the rate published on the Website at the time of enrolment. The fee represents a contribution to shared operating costs and access to mentorship. It does not include the Participant's own licensing fees, insurance, professional dues, clinical supplies, or any other cost of practising.
Arrangements for patient fees, billing, third-party billing, and the division of revenue are set out in the Programme Agreement and must be agreed in writing before the placement begins. The Participant is responsible for their own tax obligations, including registration, remittance, and reporting in respect of income earned during the placement.
Placement fees are non-refundable once a month has commenced.
8.6 Conduct on Premises
While at the Host Clinic, the Participant must comply with all clinic policies, including those governing scheduling, infection prevention and control, occupational health and safety, workplace conduct, harassment, confidentiality, and use of equipment and systems. The Participant must treat clinic staff, other practitioners, and patients with professionalism and respect, and must not disparage the Host Clinic, its staff, or its patients publicly or online.
Information the Participant learns about the Host Clinic's operations, systems, pricing, suppliers, or patients is confidential and must not be disclosed or used outside the placement.
8.7 Term, Notice, and Termination
Placements run month to month unless the Programme Agreement specifies a fixed term. Either party may end a placement on 30 days' written notice. We or the Host Clinic may terminate a placement immediately, without refund, where the Participant's licence or insurance lapses or becomes restricted, where there is a concern regarding patient safety, where the Participant materially breaches these Terms or clinic policy, or where the Host Clinic ceases operations.
On termination, the Participant must return all keys, credentials, equipment, and clinic property, and must make arrangements for the continuing care of their patients in accordance with their college's obligations.
8.8 Patients and Continuity of Care
The Participant's professional obligations to their patients, including obligations regarding continuity of care, notice of departure, and transfer of records, take precedence over any commercial term of these Terms or of a Programme Agreement. Arrangements regarding patients seen during a placement, including any notice or transition period, are set out in the Programme Agreement and must be agreed before the placement begins. Nothing in these Terms restricts a patient's right to choose their own practitioner.
8.9 Availability
Induction Placements are limited in number, are offered at specific physical locations, and are subject to capacity, Host Clinic approval, and our assessment of suitability. Publication of a placement on the Website is an invitation to apply, not an offer capable of acceptance. We may decline any application at our discretion.
8.10 Programme Agreement Governs
Every Induction Placement requires a signed Programme Agreement. Where any term of the Programme Agreement conflicts with these Terms, the Programme Agreement governs in respect of that placement.
9. Community and Cohort Participation
Certain programmes include peer discussion forums, cohort calls, group sessions, or shared community channels. By participating, you agree that:
• Information shared by other Participants about their practice, finances, or professional circumstances is confidential and must not be disclosed outside the programme
• You will not share patient-identifying information in any group setting
• You will not use community channels to solicit other Participants for unrelated commercial purposes, or to recruit staff from a Host Clinic
• You will conduct yourself professionally, and will not harass, demean, or discriminate against any Participant, instructor, or staff member.
We may remove content and suspend or terminate access, without refund, for breach of these standards. We do not monitor all community content and are not responsible for statements made by other Participants; opinions expressed by Participants are their own.
10. External Links and Third-Party Services
This Website may contain links to third-party websites, platforms, products, or services, including learning platforms, scheduling tools, payment processors, practice management software, suppliers, and affiliate partners. These links are provided for convenience and informational purposes only. We do not endorse, control, or assume responsibility for the content, privacy practices, products, or services of any third party. Your use of third-party sites is governed by their respective terms and policies, and you access them at your own risk. Where we recommend, review, or reference third-party products, software, suppliers, or services, such references reflect our own research, experience, and opinion. We are not responsible for the quality, safety, efficacy, availability, or legality of any third-party product or service, and you remain responsible for satisfying yourself that any tool you adopt meets your regulatory obligations.
11. Affiliate Relationships and Sponsored Content
This Website and its Affiliated Platforms may contain affiliate links, sponsored content, or paid partnerships. All email communications comply with Canada's Anti-Spam Legislation (CASL). You may unsubscribe at any time by clicking the unsubscribe link in any email or by contacting us directly. Transactional messages relating to a purchase, enrolment, or active placement are not marketing messages and will continue while your engagement is active. Newsletter content is subject to Section 2.
13. Privacy and Data Protection
Your privacy is important to us. Any personal information collected through this Website is handled in accordance with our Privacy Policy. We comply with Canada's Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation in the collection, use, and disclosure of your personal information.
We do not sell, trade, or rent your personal information to third parties. Personal information may be shared with third-party service providers, such as email delivery services, learning platforms, payment processors, and hosting providers, solely to deliver our Content and Services to you.
Our Privacy Policy governs personal information we hold about you. It does not govern personal health information you hold about your own patients, for which you remain responsible under Section 8.4 and applicable health privacy legislation.
14. International Users
Our Website and digital Courses are available to practitioners in many countries. Induction Placements are available only at physical Host Clinic locations and require licensure in the jurisdiction where the clinic is located.
Our Content is prepared primarily from a Canadian regulatory and commercial perspective. If you practise elsewhere, requirements in your jurisdiction may differ materially, and you are solely responsible for confirming that any guidance you apply is lawful and permitted where you practise. Access to our Services from a jurisdiction where they would be unlawful is prohibited, and you access the Website on your own initiative and at your own risk.
Notwithstanding the international availability of our Services, these Terms are governed by the law specified in Section 18.
15. Limitation of Liability
To the fullest extent permitted by applicable law, Omnipraxis, its directors, officers, agents, employees, instructors, mentors, contractors, affiliates, and associated entities shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with your use of this Website, its Content, Courses, Mentorship, Induction Placements, or any other Services, including but not limited to:
• Any clinical outcome, adverse event, patient complaint, or regulatory proceeding arising from your practice or from your reliance on information provided through our Services
• Any business, financial, or commercial loss, including lost revenue, lost profits, failed business ventures, lease obligations, or unrecovered capital
• Any regulatory, disciplinary, licensing, or professional consequence arising from your decisions
• Any errors, omissions, or inaccuracies in Content, or Content that has become out of date • Loss of data, unauthorized access to or alteration of your transmissions or data
• Conduct of any third party, including other Participants, instructors, or Host Clinic staff
• Any other matter relating to this Website or our Services, whether based on warranty, copyright, contract, tort, negligence, or any other legal theory.
In no event shall our total aggregate liability to you for all claims arising out of or related to this Website or our Services exceed the amount you paid to us in the twelve (12) months preceding the claim.
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded. Some jurisdictions do not allow the exclusion or limitation of certain damages; if those laws apply to you, some or all of the above may not apply and you may have additional rights.
16. Indemnification
You agree to indemnify, defend, and hold harmless Omnipraxis, its directors, officers, agents, employees, instructors, mentors, contractors, affiliates, associated entities, and any Host Clinic and Lead Clinician, from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with:
• Your access to or use of this Website or our Services
• Your violation of these Terms or of any Programme Agreement
• Your violation of any third-party right, including intellectual property and privacy rights
• Any clinical care you provide, including care provided during an Induction Placement
• Any regulatory complaint, disciplinary proceeding, or legal claim brought against us or a Host Clinic in connection with your conduct
• Any business or financial decision you make based on our Content or Services
17. Disclaimer of Warranties
This Website and all Content, Courses, Mentorship, Induction Placements, and other Services are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement.
We do not warrant that this Website will be available at all times, uninterrupted, secure, or error-free, that defects will be corrected, or that this Website or its servers are free of viruses or other harmful components.

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect the remaining provisions, which shall continue in full force and effect.
21. Entire Agreement
These Terms and Conditions, together with our Privacy Policy and any Programme Agreement executed between us, constitute the entire agreement between you and Omnipraxis with respect to your use of this Website and our Services, and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
